CORPUS COMMERCIAL LICENSE Version 1.0 Copyright (c) 2026 Nikita Andreevich Kostenko. All rights reserved. Corpus is proprietary software. It is licensed, not sold. Installing, copying or using any part of it means you accept this License. If you do not accept it, do not install or use the Software. 1. DEFINITIONS "Licensor" means Nikita Andreevich Kostenko, the author and owner of Corpus, reachable at kostneko30@gmail.com. "Software" means Corpus in every form: source code, compiled code, container images, configuration files, scripts, documentation, and every Update. "Licensee" means the one company or other legal entity that bought a license from the Licensor, as named on the order or invoice. "Authorized Users" means the Licensee's employees, and individual contractors who work for the Licensee, while they use the Software on the Licensee's behalf. "Extension" means code written by or for the Licensee in the folders backend/src/custom/ and frontend/src/custom/, as the Software's customization guide describes. "Update" means a new version of the Software that the Licensor releases. "Update Period" means the 12 months after the purchase, extended by each paid renewal. 2. OWNERSHIP The Licensor owns the Software and all intellectual property rights in it. This License gives the Licensee only the rights written in section 3. Every other right is reserved by the Licensor. 3. WHAT THE LICENSEE MAY DO While the Licensee complies with this License and has paid for it, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable license to: a) install and run the Software on servers that the Licensee owns or controls (its own hardware, or a private cloud account in the Licensee's name), for the Licensee's own internal business; b) let Authorized Users use it; c) configure the Software, write Extensions, and change the Software where needed to adapt it to the Licensee's own internal use; d) make the copies these uses need: one production installation, plus copies for testing, staging, backups and disaster recovery that only the Licensee uses. The license is perpetual for the versions the Licensee received during the Update Period. ONE LICENSE COVERS ONE COMPANY. A parent company, a subsidiary or any other affiliate of the Licensee is a separate company and needs its own license. A second production installation needs a second license. 4. WHAT THE LICENSEE MAY NOT DO The Licensee must not, and must not let anyone else: a) install, run or use the Software for any person or company other than the Licensee, including the Licensee's clients, for example as an IT integrator, consultant or managed service provider; b) copy, publish, distribute, sell, resell, rent, lease, lend or sublicense the Software or any part of it, changed or unchanged, including Extensions that contain parts of the Software; c) offer the Software to others as a hosted service, as software as a service, or under another name or brand; d) present the Software, or a product based on it, as their own work, or use it or its source code to build a product for sale or for others; e) remove or change copyright notices, license notices or the Licensor's name in the Software; f) get around any license check that the Software contains, or share a license key or license file with anyone else; g) transfer this License, or the Software, to another company without the Licensor's prior written consent. 5. CONFIDENTIALITY The source code of the Software is the Licensor's confidential information. The Licensee keeps it confidential and gives access to it only to Authorized Users who need it for the uses in section 3 and who are bound to keep it confidential. 6. UPDATES The License includes the Updates released during the Update Period. When the Update Period ends, the Software keeps working: the Licensee may keep using the last version it received. Later Updates need a paid renewal. Support is included only when a separate written agreement says so. 7. THIRD-PARTY SOFTWARE AND AI MODELS The Software uses open-source libraries and runs other software and AI models, for example PostgreSQL, Qdrant, RabbitMQ, Ollama, Caddy, LibreOffice, large language models (such as Llama, Gemma and Qwen) and embedding models. Each comes under its own license, which this License does not change. The Licensee downloads the AI models and is responsible for following their licenses and use policies. 8. TERMINATION This License ends automatically when the Licensee breaks any of its terms. The Licensee must then stop using the Software and delete every copy of it. Sections 2, 4, 5, 8, 9 and 10 stay in force after the License ends. 9. NO WARRANTY To the extent the law allows, the Software is provided "as is", without any warranty, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. The Licensee is responsible for its own backups and for checking the answers the Software gives: answers written by an AI model can be wrong. 10. LIMITATION OF LIABILITY To the extent the law allows, the Licensor is not liable for any indirect, incidental, special or consequential damages, or for lost data, profits or business, arising from the Software or this License. The Licensor's total liability is limited to the amount the Licensee paid for the License in the 12 months before the claim. 11. GENERAL A separate agreement signed by the Licensor and the Licensee takes precedence over this License where they differ. If a court finds a part of this License unenforceable, the rest stays in force. To buy a license, renew updates or ask about this License, write to kostneko30@gmail.com.
